The agreement between you and CherryIn for using the Services.

Welcome to CherryIn. These Terms of Service (the "Terms") constitute an agreement between you and CHERRY INTELLIGENCE (HK) LIMITED (registered address: RM 07, 12/F, CHEVALIER COMMERCIAL CENTRE, 8 WANG HOI ROAD, KOWLOON BAY, HONG KONG; hereinafter "we" or "CherryIn") regarding your access to and use of the CherryIn website, API, console, SDK, and related products and services (collectively, the "Services").

Please read these Terms carefully before using the Services. By registering, accessing, or using the Services, you confirm that you have read, understood, and agreed to be bound by these Terms in their entirety. If you do not agree with these Terms, please immediately stop using the Services.

1. Description of the Services

CherryIn provides aggregation, invocation, and billing services for large language model (LLM) APIs from multiple upstream model providers, together with supporting tools such as a console, key management, and usage analytics. The actual functionality is determined by what is offered on the website; we may add, modify, or remove features from time to time.

2. Account Registration and Management

  1. You must register an account before using the Services. You undertake that the registration information you provide is true, accurate, complete, and lawful, and that you will update it promptly when it changes.
  2. You shall safeguard your account credentials (including passwords and API keys) and bear responsibility for all activities under your account.
  3. You shall not lend, transfer, lease, or otherwise make your account available to any third party.
  4. If you become aware that your account has been compromised or is exposed to other security risks, you shall notify us immediately.
  5. We may, on a reasonable basis, require you to re-verify your identity or temporarily freeze any account showing anomalies.

3. User Eligibility

You must be at least 18 years of age, or have reached the age of full civil capacity in your jurisdiction, to register and use the Services. If you use the Services on behalf of a business or other organisation, you represent that you have obtained the necessary authorisation.

4. Rules of Use

You undertake to comply with applicable laws and regulations and these Terms when using the Services, and shall not engage in conduct including but not limited to the following:

  1. Violating any applicable law, regulation, policy, or third-party right;
  2. Generating, disseminating, or storing content that infringes the intellectual property, trade secrets, privacy, or other lawful rights of others;
  3. Generating or disseminating content that is pornographic, violent, terrorist, extremist, discriminatory, fraudulent, or that constitutes misleading medical or legal advice, or other unlawful or harmful content;
  4. Accessing, interfering with, or disrupting the Services or the systems or networks they rely on without authorisation;
  5. Using the Services to carry out cyberattacks, malicious crawling, mass account creation, traffic manipulation, cash-out schemes, or other abusive activity;
  6. Circumventing or attempting to circumvent the rate limits, billing mechanisms, or security measures of the Services;
  7. Using the Services for purposes restricted by export controls or sanctions;
  8. Engaging in any conduct that violates the use policies of upstream model providers.

We may reasonably monitor your use of the Services. Where we identify a violation, we may, depending on the severity, issue a warning, throttle, suspend, or terminate the Services and reserve the right to pursue legal liability.

5. Fees, Top-ups, and Refunds

  1. The Services use prepaid, subscription, and other billing models. The applicable prices and billing rules are as published on the website.
  2. You shall complete top-ups or payments through the channels we designate. Once payment is completed, the corresponding balance or entitlement will be credited to your account.
  3. Refund policy:
    • For charges resulting from technical faults, billing errors, or other causes attributable to us, you may contact customer service to apply for a refund.
    • Fees that have actually been consumed (including successful invocations of upstream models) are in principle non-refundable.
    • For unconsumed prepaid balances, you may apply for a refund within a reasonable period from the date of purchase. We may deduct applicable handling fees and channel costs.
    • Where your account is terminated for breach of these Terms, the relevant balance may be frozen or non-refundable.
  4. You are responsible for any differences arising from taxation or exchange-rate fluctuations.

6. User Content and Licence

  1. "User content" means content you input, upload, transmit, or otherwise provide through the Services (including prompts) and the outputs generated by models.
  2. You retain your lawful rights in your own user content. You are responsible for your user content and warrant that it does not infringe the rights of any third party.
  3. To the extent of your use of the Services, you grant us a limited, non-exclusive, royalty-free, sublicensable licence solely to: (a) transmit and process your requests with upstream model providers; (b) operate, maintain, secure, and improve the Services; and (c) carry out compliance audits and disclosures required by law.
  4. We do not use your user content to train our own models.
  5. Model outputs may be inaccurate, incomplete, or misleading. You are solely responsible for any decisions you make based on model outputs, particularly in professional fields such as medicine, law, and finance.

7. Intellectual Property

All intellectual property rights in the Services and related software, interfaces, trademarks, logos, documentation, and other materials belong to CHERRY INTELLIGENCE (HK) LIMITED or its licensors and are protected by applicable law. You may not copy, modify, decompile, reverse-engineer, sell, or otherwise exploit such materials without our written permission.

8. Third-Party Services

The Services aggregate calls to third-party model providers and other third-party services. Such third-party services may be subject to their own terms and privacy policies. We make no express or implied warranty as to the availability, accuracy, legality, or security of any third-party services.

9. Privacy

Our handling of personal information is governed by the Privacy Policy. Please read and understand it before using the Services.

10. Disclaimers

To the maximum extent permitted by applicable law:

  1. The Services are provided on an "as is" and "as available" basis, and we make no express or implied warranty that they will be uninterrupted, error-free, latency-free, secure, or fit for your particular needs.
  2. We make no warranty as to the accuracy, completeness, legality, or fitness for any particular purpose of model outputs.
  3. We are not liable for any decisions you make in reliance on model outputs.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

  1. In no event shall we, our affiliates, employees, or partners be liable for loss of profit, loss of revenue, loss of goodwill, loss of data, business interruption, or any direct, indirect, incidental, special, punitive, or consequential damages, whether or not foreseeable and whether or not we have been advised of the possibility of such damages.
  2. We make no commitment of compensation, indemnity, or refund of any kind in connection with the Services, except as otherwise provided in these Terms (such as the refund policy in section 5) or as mandatorily required by applicable law.
  3. Where applicable law mandates that we bear liability, the exclusions in this section shall not affect the application of such mandatory provisions.

12. Indemnification

You shall indemnify and hold us, our affiliates, employees, and partners harmless from any claims, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms, violation of laws or regulations, or infringement of third-party rights.

13. Changes and Termination of the Services

  1. We may add, change, suspend, or terminate all or part of the Services at any time, and will give reasonable advance notice where appropriate.
  2. You may stop using the Services and apply to deactivate your account at any time.
  3. If you breach these Terms, or based on legal, regulatory, security, or commercial considerations, we may suspend or terminate the provision of the Services to you, and reserve the right to pursue liability.
  4. Provisions that by their nature should survive termination of these Terms (such as those concerning intellectual property, limitation of liability, and dispute resolution) shall continue to apply.

14. Governing Law and Dispute Resolution

  1. The conclusion, validity, interpretation, performance, and dispute resolution of these Terms are governed by the laws of the Hong Kong Special Administrative Region of the People's Republic of China.
  2. Any dispute arising from these Terms shall first be resolved through friendly negotiation. Failing such resolution, either party may submit the dispute to a court of competent jurisdiction in the Hong Kong Special Administrative Region.

15. General

  1. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
  2. Our failure to exercise or enforce any right or provision under these Terms shall not constitute a waiver thereof.
  3. You may not assign your rights or obligations under these Terms without our written consent; we may assign these Terms in the context of a merger, acquisition, or restructuring.
  4. These Terms constitute the entire agreement between you and us regarding the Services.

16. Amendments to these Terms

We may revise these Terms from time to time. The revised Terms will be published on this website and take effect on the date of publication. Continued use of the Services after such changes constitutes your acceptance of the revised Terms.
